By agreeing to take part in Comedy101’s Coaching seminar and by scheduling an appointment, you hereby agree to the following terms and conditions:
You understand and acknowledge that Comedy101 Coaches will use their best efforts to educate you in the art of comedy, such learning may not occur. By entering into this coaching agreement you agree to forever release and acquit Comedy101 from any liability whatsoever for any of the information transmitted, or not transmitted, at this event.
In exchange for payment of the requisite fee, Comedy101 will perform one stand-up comedy coaching session (“Comedy101 Coaching”).
All sales are final and refunds will not be made, irrespective of the accuracy of any assertions of fact made or implied by Comedy101.
You agree to waive and hold Comedy101 harmless for any damages that might arise out of your reliance on any advice or representations of fact made by Comedy101 Coaching.
This Agreement cannot be assigned by either Party without the prior, express, written consent of the other Party.
This Agreement represents the entire agreement reached between the Parties and any prior or contemporaneous representations made by either Party are hereby merged into this Agreement. If any provision of this Agreement is held by a court of competent jurisdiction to be unenforceable, that provision will be severed from this Agreement and the remaining provisions shall endure and remain in full force and effect.
This Agreement is terminable by Comedy101 at any time and for any reason. In the event the Agreement is terminated you will forfeit whatever additional balance you have remaining in connection with the Comedy101 Services.
In the event of a dispute arising out of the Agreement, the Parties hereby agree to attend a pre-suit mediation in Denver County, Colorado prior to filing any complaint. If the Parties are unable to reach a resolution during or immediately following mediation, a lawsuit may be filed by either Party. The sole measure of damages shall be the amount of the requisite Fee. If YOU prevail in any litigation arising out of the Agreement, you will be entitled to a refund of the requisite Fee and shall be entitled to nothing more. If Comedy101 prevails in any litigation arising out of the Agreement, Comedy101 will be entitled to any unpaid Fee and any damages to reputation caused by any statements which may have been made by YOU. Venue for the lawsuit shall be in the Circuit Court, or the County Court, whichever is applicable for jurisdictional purposes, for Denver County, Colorado and the law of the State of Colorado shall apply to this action. Additionally, the prevailing party in any litigation arising out of or under this Agreement is entitled to his or her reasonable attorney’s fees and costs incurred in connection with said litigation.
